END-USER LICENCE AGREEMENT (EULA)

This End-User Licence Agreement (“Agreement” or “EULA”) is a legally binding contract between you (“End-User” or “you”) and FozDigital LTD, trading as BudgetFitter (“Licensor”, “Company”, “we”, “us”, or “our”), a company incorporated in England and Wales under Company Registration Number 13470802, with Information Commissioner’s Office (ICO) Data Protection Registration Number ZB348787 and registered UK trademark #UK00004088233, located at 124 City Road, London, EC1V 2NX, United Kingdom.

This Agreement governs your acquisition, installation, access, and use of our software applications, including:

  • Our native mobile application for Apple iOS distributed via the Apple App Store (the “iOS App”).
  • Our native mobile application for Google Android distributed via the Google Play Store (the “Android App”).
  • Our browser extension for Chromium-based browsers distributed via the Chrome Web Store (the “Extension”).
  • All related software binaries, APIs, digital documentation, and interface updates (collectively, the “Licensed Application”).

THE LICENSED APPLICATION IS LICENSED, NOT SOLD, TO YOU. By downloading, installing, accessing, or using the Licensed Application, you acknowledge that you have read, understood, and agree to be bound by all terms of this Agreement, as well as our master Terms and Conditions and Privacy Policy. If you do not agree to these terms, do not download, install, or use the Licensed Application.

1. SCOPE OF LICENCE & PLATFORM PERMISSIONS

Subject to your strict compliance with this Agreement, Licensor grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable personal licence to:

  1. Download, install, and execute the Licensed Application on compatible personal devices owned or controlled by you (including iPhone, iPad, Android smartphones, tablets, and desktop computers).
  2. Access and use the synchronised Deal Feed, merchant factsheets, the independent BudgetFitter Score (BFS), curated vouchers, and Ally Rewards mission interfaces strictly for your personal, non-commercial savings discovery.
  3. Utilise the software in accordance with the standard usage rules set forth in the Apple Media Services Terms and Conditions, Google Play Terms of Service, or Chrome Web Store Terms of Service, including any applicable Family Sharing or volume purchasing provisions.

2. LICENCE RESTRICTIONS & REVERSE ENGINEERING BAN

You agree that you will not, and will not permit any third party to:

  • Reverse Engineer: Decompile, reverse engineer, disassemble, decrypt, attempt to derive the source code of, or extract cryptographic keys from the Licensed Application or its underlying APIs, except to the extent permitted by applicable UK law.
  • Automated Scraping & Bot Access: Use automated bots, scrapers, crawlers, or unauthorized scripts to poll our mobile REST API endpoints, extract voucher databases, harvest BFS ratings, or simulate user interactions.
  • Modify or Create Derivatives: Modify, translate, adapt, merge, or create derivative works of the Licensed Application or any part thereof.
  • Commercial Exploitation: Rent, lease, lend, sell, redistribute, sublicence, syndicate, or commercially exploit the Licensed Application or our exclusive promo code feeds.
  • Security Circumvention: Bypass, modify, disable, or tamper with security mechanisms, JWT authentication tokens, rate-limiting rules, or digital rights protections incorporated into the software.
  • Malicious Conduct: Transmit any worms, viruses, spyware, adware, or other malicious software payloads via the Licensed Application.

3. TECHNICAL REQUIREMENTS & UPDATES

You are responsible for ensuring that your device meets the minimum hardware, operating system, and network connectivity specifications required to execute the Licensed Application (e.g. current versions of iOS, Android, or Chromium-based browsers). Licensor may periodically develop and release updates, patches, bug fixes, and feature enhancements (“Updates”). You agree that Licensor has no obligation to support outdated versions of the Licensed Application and that continued access may require installing available Updates.

4. MAINTENANCE AND SUPPORT OBLIGATIONS

FozDigital LTD is solely responsible for providing maintenance and customer support for the Licensed Application. You acknowledge that neither Apple Inc., Google LLC, nor any other digital distributor has any obligation whatsoever to furnish any maintenance or customer support services with respect to the Licensed Application. 5. USE OF DATA, PUSH ALERTS & TELEMETRY PRIVACY

You acknowledge that when you download, install, or use the Licensed Application, Licensor may collect technical telemetry, anonymised crash diagnostics, and device identifiers (such as OS build version, device model, and Firebase/APNs push tokens) to optimize performance, dispatch requested Deal Feed push alerts, and secure our network, in strict accordance with our Privacy Policy.

Push Notification Disabling: Push alerts are strictly opt-in and can be revoked at any time within the application settings or device operating system notification manager without affecting your ability to use the Licensed Application.

6. APPLE APP STORE MANDATORY TERMS (SCHEDULE A)

The following provisions apply exclusively to users who acquire the Licensed Application from the Apple App Store for use on Apple iOS / iPadOS devices:

  1. Parties to Agreement: This EULA is concluded solely between you and FozDigital LTD, and not with Apple Inc. (“Apple”). FozDigital LTD, not Apple, is solely responsible for the Licensed Application and its content.
  2. Scope of Licence: The licence granted to you for the iOS App is limited to a non-transferable licence to use the Licensed Application on any Apple-branded products running iOS/iPadOS that you own or control, as permitted by the Usage Rules set forth in the Apple Media Services Terms and Conditions.
  3. No Apple Maintenance: Apple has no obligation whatsoever to furnish any maintenance and support services with respect to the Licensed Application.
  4. Warranty & Apple Refund: In the event of any failure of the Licensed Application to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any) paid for the Licensed Application. To the maximum extent permitted by applicable law, Apple will have no other warranty obligation whatsoever with respect to the Licensed Application, and any other claims, losses, liabilities, damages, costs, or expenses attributable to any failure to conform to any warranty will be FozDigital LTD’s sole responsibility.
  5. Product Claims: FozDigital LTD, not Apple, is responsible for addressing any claims by you or any third party relating to the Licensed Application, including: (i) product liability claims; (ii) any claim that the Licensed Application fails to conform to any applicable legal or regulatory requirement; and (iii) claims arising under consumer protection, privacy, or similar legislation.
  6. Intellectual Property Infringement: In the event of any third-party claim that the Licensed Application or your possession and use of the Licensed Application infringes that third party’s intellectual property rights, FozDigital LTD, not Apple, will be solely responsible for the investigation, defense, settlement, and discharge of any such intellectual property infringement claim.
  7. Third-Party Beneficiary: You acknowledge and agree that Apple, and Apple’s subsidiaries, are third-party beneficiaries of this EULA, and that upon your acceptance of the terms of this EULA, Apple will have the right (and will be deemed to have accepted the right) to enforce this EULA against you as a third-party beneficiary thereof.

7. GOOGLE PLAY STORE TERMS (SCHEDULE B)

For users downloading the Licensed Application via the Google Play Store:

  • This Agreement is entered into between you and FozDigital LTD only. Google LLC is not a party to this Agreement and is not responsible for the Licensed Application.
  • You agree to comply with all applicable Google Play Terms of Service and Developer Distribution Policies.
  • Google LLC assumes no maintenance, support, or warranty liability with respect to the Licensed Application.

8. BROWSER EXTENSION MANIFEST V3 SPECIFICS

When installing and executing our Chromium Browser Extension:

  • Passive Client-Side Operation: The Extension operates client-side within the browser sandbox. It evaluates public merchant hostnames purely to alert you to verified vouchers.
  • Zero Browsing History: The Extension does not collect, record, or transmit your browsing history, URLs, search terms, or form inputs.
  • No Content Injection: You are prohibited from tampering with the Extension’s Manifest V3 background service workers or attempting to inject unauthorized tracking scripts.

9. USER CONTRIBUTIONS & FEEDBACK

Any feedback, bug reports, review comments, or deal accuracy ratings you submit through the Licensed Application become the exclusive property of FozDigital LTD. We may use, modify, and incorporate such feedback into future updates without compensation or acknowledgement.

10. INTELLECTUAL PROPERTY RIGHTS

FozDigital LTD retains all right, title, and interest in and to the Licensed Application, including all software code, visual UI interfaces, BFS scoring algorithms, factsheet databases, curated deal feeds, and registered UK trademarks (#UK00004088233). This Agreement grants you only a limited licence to execute the software; no ownership rights are transferred.

11. DISCLAIMER OF WARRANTIES

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE LICENSED APPLICATION IS PROVIDED TO YOU “AS IS” AND “AS AVAILABLE”, WITH ALL FAULTS AND DEFECTS, WITHOUT WARRANTY OF ANY KIND. FOZDIGITAL LTD EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE LICENSED APPLICATION WILL OPERATE UNINTERRUPTED, MEET YOUR REQUIREMENTS, BE COMPATIBLE WITH EVERY THIRD-PARTY WEBSITE CHECKOUT INTERFACE, OR REMAIN ERROR-FREE.

12. STRICT LIMITATIONS OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL FOZDIGITAL LTD, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR IN CONNECTION WITH YOUR USE OR INABILITY TO USE THE LICENSED APPLICATION.

AGGREGATE LIABILITY CEILING: IN NO EVENT SHALL FOZDIGITAL LTD’S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING UNDER OR RELATING TO THIS AGREEMENT OR THE LICENSED APPLICATION EXCEED THE AMOUNT PAID BY YOU FOR THE LICENSED APPLICATION OR A MAXIMUM SUM OF £100.00 GBP (WHICHEVER IS LOWER). NOTHING HEREIN SHALL EXCLUDE LIABILITY FOR DEATH OR PERSONAL INJURY CAUSED BY NEGLIGENCE OR FOR FRAUD.

13. LEGAL COMPLIANCE & EXPORT CONTROLS

You represent and warrant that: (i) you are not located in a country that is subject to a UK, UN, EU, or US Government embargo, or that has been designated as a “terrorist supporting” country; and (ii) you are not listed on any UK, EU, or US Government list of prohibited or restricted parties.

14. TERM AND TERMINATION

This Agreement remains effective until terminated by you or FozDigital LTD. Your rights under this Agreement will terminate automatically without notice if you fail to comply with any of its terms. Upon termination, you must cease all use of the Licensed Application and delete all copies from your devices.

15. THIRD-PARTY BENEFICIARIES

Except as expressly set forth in Section 6 regarding Apple Inc. and Section 7 regarding Google LLC as third-party beneficiaries, this Agreement does not confer any rights or remedies upon any person or entity other than the parties hereto.

16. GOVERNING LAW & JURISDICTION

This Agreement and any dispute arising out of or in connection with it shall be governed by and construed in accordance with the laws of England and Wales. You and FozDigital LTD submit to the exclusive jurisdiction of the courts of London, England.
